About these Terms

These Terms set out the common conditions for using the SIM card, eSIM, data communication and Wi-Fi router rental services, and related services, that Vietnam Bussan Co., Ltd. ("we", "us" or "our") provides under the name "HD TELECOM". Charges, data allowances, usage periods, traffic management, minimum terms, cancellation conditions and other matters specific to each plan are governed by these Terms together with the individual conditions we make clear on our Website, application screens and price lists, in the Explanation of Important Matters and elsewhere.

Chapter 1: General Provisions

Article 1 (Application)

  1. These Terms set out the conditions for using the telecommunications services, SIM cards, eSIMs, rental communication devices and related services that Vietnam Bussan Co., Ltd. ("we", "us" or "our") provides under the name "HD TELECOM" (together, the "Service").
  2. The Subscriber must agree to these Terms, the conditions for each service on our Website, the price list, the Explanation of Important Matters, the Privacy Policy and any other rules we set separately before using the Service.
  3. Where the individual conditions for a service differ from these Terms, those individual conditions take precedence.

Article 2 (Definitions)

In these Terms, the following words have the meanings given below.

(1) "Subscriber": a person who has entered into an agreement with us to use the Service

(2) "User": a person who actually uses the Service under the Subscriber's management

(3) "SIMs": SIM cards and eSIM profiles

(4) "Rental Device": a Wi-Fi router or other communication device that we lend to the Subscriber

(5) "Identity Documents": official certificates and other documents that we specify for identity verification

(6) "Website": the website we operate to present the HD TELECOM services, accept applications, manage contracts and for similar purposes

Article 3 (Changes to these Terms)

  1. We may change these Terms when laws are amended, when the content of the Service changes, when the conditions of the carriers or partners we work with change, or when there is another reasonable need.
  2. We will announce the changes and the date they take effect by posting them on our Website or by another appropriate method.
  3. Where the law requires the Subscriber's individual consent to a change, we will obtain that consent as the law requires.

Chapter 2: Applications, Contracts and Identity Verification

Article 4 (Applications)

  1. Applications for the Service must be made through our designated web form or by another method we specify.
  2. Applicants must provide true and accurate information about their name, address, contact details, email address and any other items we ask for.
  3. Only people aged 18 or over may apply for or use the Service.
  4. We may carry out the checks we need, such as checking the application details, verifying identity, screening payment and assessing whether we can provide the service.

Article 5 (Identity Verification)

  1. We verify the identity of the Subscriber or User as needed, depending on the type of service, legal requirements, fraud prevention and other needs.
  2. We may ask for images of the front and back of an Identity Document, an image showing both the applicant and the Identity Document, and the applicant's name, address, email address, phone number and any other information we consider necessary.
  3. For voice calls, SMS and other services that require identity verification by law, we may withhold the service until the identity verification procedure we specify separately has been completed.
  4. If there is any doubt about the information submitted, such as false statements, forgery, alteration or misuse of another person's name, we may ask for additional documents, refuse the application, suspend use or terminate the contract.

Article 6 (Formation of the Contract)

The agreement to use the Service is formed when we accept the application and our designated procedures have been completed. However, if the conditions for a particular service provide otherwise, those conditions apply.

Article 7 (When We Do Not Accept an Application)

We may decline an application if the applicant may breach these Terms, identity verification is not completed, we reasonably judge that there is a problem with the applicant's ability to pay or with payment, the applicant has seriously breached the terms of our services in the past, the applicant is an antisocial force (such as an organized crime group), or we otherwise reasonably judge that providing the service would not be appropriate.

Chapter 3: SIMs, eSIMs and Telecommunications Services

Article 8 (Looking After SIMs)

  1. The Subscriber is responsible for looking after SIMs properly.
  2. If a SIM is lost, stolen or misused, or an eSIM profile is found to have been obtained without authorization, the Subscriber must contact us promptly.
  3. Ownership of SIMs, whether they must be returned, the conditions for reissue and other handling are governed by the conditions for each service.

Article 9 (Communication Quality)

  1. The Service is a best-effort telecommunications service. The maximum speeds shown are not a guarantee of actual speeds.
  2. Speed and quality vary depending on where and when the Service is used, the device, signal conditions, network congestion, the sites connected to, the state of the carrier's facilities and other factors.
  3. We may manage traffic in accordance with the law and the conditions for each service, for stable network operation, easing congestion, ensuring fair use, security and other reasonable purposes.

Article 10 (Data Allowances and Speed Control)

  1. Data allowances, usage periods, speeds, what happens once the allowance is used up, top-ups, the Fair Usage Policy and other conditions are as shown for each plan.
  2. Even where a plan is described as "unlimited" or similar, we may manage traffic under separately stated conditions, for stable network operation, fair use and other reasonable purposes.
  3. We will show the important communication conditions at the time of contract or on our Website so that the Subscriber can check them.

Article 11 (Service Area)

The service area of the Service is our network coverage area or that of the carriers whose networks we use. Even within the service area, the Service may not be available because of signal conditions or other circumstances.

Chapter 4: Rental Devices

Article 12 (Rental Devices)

  1. Rental Devices are devices that we have purchased and manage in our name, or other devices that we have the legal right to lend.
  2. The Subscriber must use and store Rental Devices with the care of a prudent manager (the care reasonably expected of someone looking after another person's property).
  3. When the contract ends or we otherwise ask for a Rental Device to be returned, the Subscriber must return it by the deadline and in the manner we specify.

Article 13 (Loss, Damage and Similar)

If the Subscriber intentionally or negligently loses, damages or modifies a Rental Device, or fails to return it, we may charge the device damage fee, repair costs and other reasonable costs set out in the conditions for each service.

Chapter 5: Charges and Payment

Article 14 (Charges)

The Subscriber must pay the initial fees, monthly charges, usage-based charges, device charges, reissue fees and other charges that we show on our Website, in price lists, on application screens or by other means.

Article 15 (Payment Methods)

  1. Payment is by bank transfer, cash on delivery or any other method shown on the application screen.
  2. Where the terms or other conditions of a payment provider apply, the Subscriber must also follow them.
  3. If we cannot confirm payment by the due date, we may suspend the Service or take other necessary measures.

Article 16 (Refunds)

Except where the law requires otherwise, whether a charge already paid can be refunded depends on the conditions for each service, our cancellation policy and any other conditions we show separately.

Chapter 6: Prohibited Acts

Article 17 (No Resale, Transfer or Commercial Resale)

  1. Without our prior consent in writing or by electronic means, the Subscriber must not resell, commercially resell, transfer or sublet the Service, SIMs, Rental Devices or any other product or service we provide to a third party, let a third party use them in the Subscriber's name, or do anything similar.
  2. The Subscriber must not use the Service for commercial resale or resale to third parties, for lending it to them, or for providing it again to them in any other way for profit, unless we have given our consent in advance.
  3. The Subscriber must not transfer, resell, sublet or pawn a Rental Device, use it as security, or do anything else that harms our ownership of or control over it.

Article 18 (Other Prohibited Acts)

The Subscriber must not do any of the following.

(1) Anything that breaks the law or goes against public order and morals

(2) Using the Service for fraud, unauthorized access, nuisance, or infringing the rights of third parties

(3) Avoiding identity verification or using false information

(4) Improperly obtaining, copying, altering or using SIMs, accounts or authentication information

(5) Placing an excessive load on, causing faults in, or creating security risks for our facilities and networks or those of carriers

(6) Circumventing the Service's technical restrictions, traffic management or authentication mechanisms by methods we have not expressly allowed

(7) Anything else that we reasonably judge seriously interferes with the proper operation of the Service

Chapter 7: Suspension and Termination

Article 19 (Suspension of Use)

We may suspend all or part of the Service, to the extent necessary, if charges are unpaid, identity verification is incomplete, these Terms are breached, fraudulent use is suspected, there is a serious effect on the network or on third parties, or there is another reasonable ground. Except in an emergency, we will notify the Subscriber in advance or promptly afterwards, as far as possible.

Article 20 (Termination by Us)

We may terminate the contract if the Subscriber seriously breaches these Terms and does not put it right within a reasonable period after we ask them to, or if there is fraud, forgery of Identity Documents, resale or commercial resale, fraudulent use or another serious reason that makes it difficult to continue the contract.

Article 21 (Cancellation by the Subscriber)

How the Subscriber can cancel, the cancellation deadline, the minimum term, whether a cancellation fee applies, the return of Rental Devices and other conditions are set out in the conditions for each service.

Chapter 8: Maintenance, Disclaimers and Liability

Article 22 (Interruption and Suspension of the Service)

We may temporarily interrupt or stop the Service because of facility maintenance, faults, disasters, power cuts, faults in carriers' facilities, legal or government requirements, cyberattacks or other unavoidable reasons.

Article 23 (Scope of Guarantee)

We do not guarantee a constant connection, any particular speed, that any particular app can be used, full compatibility with any particular device, or anything else we have not expressly guaranteed.

Article 24 (Compensation for Damage)

  1. Our liability for damage suffered by the Subscriber for reasons attributable to us is governed by the applicable law.
  2. Except where we acted intentionally or with gross negligence, or where the law does not otherwise allow us to exclude liability, we are not liable for indirect damage, special damage, lost profits or any other damage beyond ordinary and direct damage.
  3. Where all or part of this Article does not apply because of the Consumer Contract Act (消費者契約法) or other mandatory laws, those laws take precedence.

Chapter 9: Personal Information and Communications

Article 25 (Handling of Personal Information)

We handle the personal information, identity verification information and other information of Subscribers and Users in accordance with the Act on the Protection of Personal Information (個人情報保護法), other relevant laws and our Privacy Policy. The retention period for Identity Documents and similar materials, the purposes of use, provision to third parties and other necessary matters are as set out in the Privacy Policy and other information we show separately.

Article 26 (Notices)

We send notices to the Subscriber by email to the registered email address, by posting them on our Website or account page, or by any other method we consider appropriate. If the Subscriber's registered information changes, the Subscriber must promptly update it using the method we specify.

Chapter 10: Miscellaneous

Article 27 (Exclusion of Antisocial Forces)

The Subscriber represents and warrants that they are not an organized crime group (boryokudan), a member of such a group or any other similar antisocial force, that they do not make use of such forces, and that they do not provide funds to them or have any other involvement with them.

Article 28 (Transfer of Rights and Obligations)

The Subscriber may not transfer or pass on their position under this contract, or their rights and obligations under it, to a third party, or use them as security, without our prior consent.

Article 29 (Governing Law)

These Terms and contracts relating to the Service are governed by the laws of Japan.

Article 30 (Agreed Jurisdiction)

If a dispute arises concerning these Terms or the Service, to the extent permitted by law, the court with jurisdiction over the location of our head office is the agreed court of first instance. Where the law provides otherwise for consumer contracts or other matters, that provision takes precedence.

Annex: Relationship with Individual Conditions on the Website

  1. Where a plan's product page, the application screen or the Explanation of Important Matters shows more specific conditions than these Terms, those individual conditions take precedence.
  2. On the screens before a contract is finalized, we will endeavor to let the Subscriber check the charges, payment methods, when the service will be provided, the contract period, the cancellation conditions and other important terms of the transaction.
  3. Matters not covered by these Terms are handled in accordance with the law, the rules we set separately and the nature of the service concerned.

Supplementary Provisions

  1. These Terms take effect on September 29, 2026.
  2. The latest version of these Terms is posted on the HD TELECOM Website.
  3. For agreements to use the Service concluded before these Terms took effect, the provisions on the minimum term and the cancellation fee do not apply, and the previous terms continue to apply.

Supplementary Provisions (Revision of September 29, 2026)

  1. This revision takes effect on September 29, 2026.
  2. For agreements to use the Service for monthly plans (monthly data SIMs, monthly eSIMs and pocket WiFi) ordered before this revision takes effect, the billing start date is the date (Japan time) on which we confirmed the first payment, and the period covered by the monthly charge paid in the first payment is 30 days from the billing start date (including that date). The month in which the day after the last day of that period falls (the "Transition Month") is the first month for which we bill the monthly charge under the revised charging method, and the monthly charge for the Transition Month is one full month's monthly charge per line or device, not calculated pro rata. The days from the first day of the Transition Month to the last day of that period may overlap with that period, but even in that case we do not deduct the monthly charge for the overlapping days. If, with our agreement, the contract end date falls partway through the Transition Month, the monthly charge for the Transition Month is calculated pro rata in the same way as for any other month, counting the days of use from the first day of the Transition Month to the contract end date. We will bill the monthly charge for the Transition Month by email after this revision takes effect. The due date for this bill is 10 days after the billing date. However, if the Subscriber asks to cancel by the last day of that period, the contract ends on that last day and we will not issue this bill. Monthly charges from the month after the Transition Month onwards, and other conditions, are governed by the revised Explanation of Important Matters and the other individual conditions.
  3. The provisions on the minimum term and the cancellation fee continue not to apply to those agreements referred to in the preceding paragraph that were concluded before these Terms took effect.

Supplementary Provisions (Revision of September 30, 2026)

  1. This revision takes effect on September 30, 2026.
  2. The monthly charge of a monthly plan (monthly data SIM, monthly eSIM or pocket WiFi) and the plan price of the 12-month prepaid SIM that are ordered on or after September 30, 2026 (Japan time) are shown as tax-excluded prices, and we will add consumption tax (the rate when this revision takes effect is 10%) when we bill you for payment. The amount of consumption tax is calculated per line or device on the tax-excluded amount, with amounts under ¥1 rounded down. The administration fee, the purchase price of the pocket WiFi device, the SIM/eSIM reissue fee and the cancellation fee are fixed amounts shown with tax included in the Explanation of Important Matters and other individual conditions, and no consumption tax is added to them. The rental deposit is an amount held on deposit that is refunded after the device is returned, and no consumption tax is added to it.
  3. The charges of agreements ordered before this revision takes effect are not changed by this revision. The monthly charge under such an agreement (including the monthly charge for the Transition Month defined in paragraph 2 of the Supplementary Provisions (Revision of September 29, 2026)) remains, as before, the tax-included amount shown when the agreement was applied for.

Supplementary Provisions (Revision of October 5, 2026)

  1. This revision takes effect on October 5, 2026.
  2. For agreements to use a monthly plan (monthly data SIM, monthly eSIM or pocket WiFi) whose order date (Japan time) is on or after October 5, 2026, the minimum term is 6 months and the cancellation fee is ¥3,300 per line or device (tax included; ¥3,000 excluding tax). The month containing the order date counts as the first month, and the minimum term runs until the last day of the sixth month. If the agreement is cancelled within the minimum term (that is, if the contract end date falls before the last day of the sixth month), the cancellation fee is payable for each line or device. The cancellation fee is a fixed amount that already includes tax, and no consumption tax is added to it. Even if you cancel within the minimum term, we will not charge any penalty or other damages, and the only amount you will be asked to pay is the cancellation fee (¥3,300 [tax included; ¥3,000 excl. tax]).
  3. Agreements to use a monthly plan whose order date is on or after September 29, 2026 and before October 5, 2026 are not changed by this revision. For those agreements the minimum term is 12 months and the cancellation fee is ¥9,500 per line or device (tax included), in each case as agreed when the order was placed.
  4. The provisions on the minimum term and the cancellation fee continue not to apply to agreements whose order date is before September 29, 2026 (paragraph 3 of the Supplementary Provisions and paragraph 3 of the Supplementary Provisions (Revision of September 29, 2026)).
  5. The minimum term and the cancellation fee of the Rakuten network 300GB plan (SIM and eSIM) and of the 12-month prepaid SIM are not changed by this revision.
